Terms of Service.

The rules of the rope. We have tried to write these the way we would explain them at the trailhead, but the legal parts still matter. Please read the assumption of risk section carefully.

Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the Diorite mobile applications, web planner, wearable integrations, application programming interfaces and related services (together, the "Service"), provided by AI Outdoors LLC, a Delaware limited liability company (Delaware file number 7405274) that operates Diorite ("Diorite", "we", "us").

By creating an account, downloading the app or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization such as a guide service, club or rescue team, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Service.

Assumption of risk

Mountaineering, climbing, hiking, cycling, ski touring, paddling and related activities are inherently dangerous and can result in serious injury or death. Diorite is a planning aid. It is not a guide, a forecaster, a rescue service or a substitute for training, experience and your own judgment.

You acknowledge that outdoor conditions change rapidly and unpredictably, and that no forecast, model, data source or recommendation can eliminate risk. Weather, snowpack, rockfall, water levels, wildlife, route conditions and human factors may differ materially from anything presented in the Service.

You voluntarily assume all risks, known and unknown, associated with any activity you undertake, whether or not you used the Service to plan or carry it out. You are solely responsible for deciding whether to begin, continue or abandon any activity, and for obtaining appropriate training, equipment, permits, insurance and local knowledge.

Never rely on the Service as your only means of navigation, communication or emergency response. Always carry independent navigation tools, inform a trusted contact of your plans, and follow official advisories, closures and the instructions of land managers and rescue personnel.

AI-generated content

The Service uses artificial intelligence, including large language models, to generate briefs, route descriptions, gear suggestions, pace estimates and other content ("Output"). Output is generated automatically from third-party and user-contributed data, and may be incomplete, outdated, inaccurate or inappropriate for your circumstances.

Confidence scores, verdicts such as "Go" or "Not today" and turnaround times are estimates only. They are not guarantees, certifications or professional advice. Diorite does not provide medical advice. For any injury or illness, seek care from a qualified professional, and in an emergency contact local emergency services immediately.

You are responsible for independently verifying any Output before relying on it, particularly where the consequences of error may be severe.

Eligibility and accounts

You must be at least 16 years old to create an account. Users between 16 and the age of majority in their jurisdiction may use the Service only with the involvement of a parent or guardian, who agrees to these Terms on their behalf.

You agree to provide accurate information, keep your credentials confidential and notify us promptly of any unauthorized use of your account. You are responsible for all activity under your account.

Subscriptions, trials and billing

Some features require a paid subscription ("Paid Plan"). Paid Plans renew automatically at the end of each billing period at the then-current price unless you cancel before renewal. You may cancel at any time from your account settings; cancellation takes effect at the end of the current period.

Free trials convert to a Paid Plan at the end of the trial unless cancelled. We will notify you at least three days before a trial converts. If you request a refund within 14 days of a paid charge, we will refund that charge in full.

You may pause a Paid Plan for up to six months in any twelve-month period. We may change prices with at least 30 days notice; changes apply from your next renewal. Prices exclude applicable taxes unless stated otherwise.

Field Mode and offline use

Field Mode stores maps, briefs and a compact on-device model on your device so certain features work without connectivity. Offline data reflects conditions at the time of download and will not update until your device reconnects.

Device battery life, storage, GPS accuracy, temperature and hardware condition can affect the availability and accuracy of Field Mode. Diorite does not guarantee that the Service will be available at any particular location or time.

Your content

You retain ownership of the trip plans, reports, photos, gear lists, debriefs and other content you submit ("User Content"). You grant Diorite a worldwide, non-exclusive, royalty-free license to host, store, process and display User Content as needed to operate and improve the Service for you and, where you choose to share it, for other users.

If you publish a trip report to the community, you grant other users a license to view it within the Service. You may delete User Content at any time. Deleted content is removed from active systems within 24 hours and from backups within 30 days.

We do not use your private trip plans, location history or debriefs to train artificial intelligence models.

Acceptable use

You agree not to: (a) submit false or misleading trip or condition reports; (b) use the Service to plan activity in closed or prohibited areas; (c) scrape, resell or systematically extract data from the Service; (d) reverse engineer, decompile or attempt to extract model weights or source code except as permitted by law; (e) interfere with or disrupt the Service; (f) use the Service to harass, endanger or track another person without their consent; or (g) attempt to make the Service produce content that violates the usage policies of our technology providers.

We may suspend or terminate accounts that violate this section.

Third-party data and services

The Service incorporates data and services from third parties, including weather agencies, avalanche centers, mapping providers, wearable platforms and artificial intelligence providers. Diorite's reasoning features are built on Claude, a model provided by Anthropic, PBC. Your use of the Service does not create any relationship between you and those third parties.

Third-party data is provided "as is". We do not control and are not responsible for its accuracy, availability or timeliness, and we will always attribute and link original sources where available so you can review them directly.

Intellectual property

The Service, including its software, design, models, maps (excluding third-party data), trademarks and the Diorite name and logo, is owned by Diorite or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal or internal organizational purposes in accordance with these Terms.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. DIORITE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR AVAILABLE IN ANY LOCATION.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIORITE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, ADVISORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY, DEATH OR PROPERTY DAMAGE ARISING FROM ANY ACTIVITY YOU UNDERTAKE, WHETHER OR NOT PLANNED WITH THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

Indemnification

You agree to indemnify and hold harmless Diorite from any claims, losses and expenses, including reasonable legal fees, arising from your use of the Service, your User Content, your violation of these Terms or your participation in any outdoor activity, including claims brought by members of your party.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required by law. On termination, your right to use the Service ends, and we will delete your data in accordance with our Privacy Policy, except where retention is legally required. Sections intended to survive termination will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any dispute will be resolved by binding individual arbitration administered in Boulder County, Colorado, except that either party may bring claims in small-claims court. You may opt out of arbitration by emailing legal@diorite.ai within 30 days of first accepting these Terms. If you reside in the European Economic Area or the United Kingdom, you also benefit from the mandatory consumer protections of your country of residence.

Changes and contact

We may update these Terms from time to time. For material changes we will give at least 30 days notice by email or in the app. Continued use after the effective date means you accept the updated Terms.
